Shareholders Back NextEra–Dominion Merger as Regulatory Review Begins

Shareholders of NextEra Energy, Inc. and Dominion Energy, Inc. have voted to approve the companies’ proposed merger, clearing one of the key corporate hurdles for the transaction — though both utilities now face an extended period of state and federal regulatory scrutiny before any deal can close.

The shareholder votes, reported by the Sun Sentinel, mark an early milestone in what is expected to be a months-long review process. Utility mergers of this scale typically require approvals from multiple state public utility commissions and federal agencies, including reviews of how the combined company would serve ratepayers and manage generation and transmission assets across overlapping service territories.

NextEra Energy, headquartered in Juno Beach, Florida, operates through Florida Power & Light Company and its NextEra Energy Resources segment, generating electricity from both regulated utility operations and a large renewables portfolio spanning wind, solar, and battery storage. Dominion Energy, based in Richmond, Virginia, provides regulated electricity and natural gas service through its Dominion Energy Virginia, Dominion Energy South Carolina, and Contracted Energy segments.

A combination of the two would create one of the largest regulated electric utilities in the country, with a footprint stretching across the Southeast and Mid-Atlantic. Both companies’ stocks traded modestly higher following the shareholder votes. Shares of Dominion closed at $66.57, up 1.59% from the prior close of $65.53, valuing the company at roughly $58.6 billion. NextEra shares finished at $84.24, up 0.89% from $83.50, with a market capitalization of approximately $175.6 billion.

The regulatory phase ahead is expected to focus on several questions common to large utility consolidations: whether customers in Virginia, South Carolina, and Florida would benefit from the combined company’s scale, how transmission and generation assets would be integrated, and what commitments the companies may offer regarding rates, reliability, and clean-energy investment plans already filed with state regulators.

Mergers in the regulated utility sector often take a year or more to complete as commissions in each affected state hold hearings and negotiate settlement terms. Until approvals are secured, both companies will continue operating their existing businesses under current management and regulatory structures.
