Virginia Lawmakers Split as NextEra–Dominion Deal Draws Legislative Scrutiny

State legislators representing Central Virginia remain divided over how the General Assembly should respond to the proposed transaction between Dominion Energy and Florida-based utility giant NextEra Energy, according to reporting by The Daily Progress. The disagreement reflects broader questions in Richmond about the level of legislative oversight appropriate for major changes in ownership and structure within Virginia’s largest regulated electric utility.

Dominion Energy, Inc. provides regulated electricity and natural gas service across the United States, operating through its Dominion Energy Virginia, Dominion Energy South Carolina, and Contracted Energy segments. The Dominion Energy Virginia unit handles generation, distribution, and transmission of power for the state’s largest service territory, which is why lawmakers in Central Virginia — much of which sits inside the company’s footprint — have a direct stake in the outcome.

Regulated utilities like Dominion operate under rate structures approved by state regulators, meaning any transaction that alters the company’s ownership or governance can affect how costs are recovered from customers. That dynamic typically draws attention from both legislative chambers, as well as from the State Corporation Commission, which oversees utility rates in Virginia. Lawmakers cited in the report differ on whether legislative action, regulatory review, or a combination of both is the right vehicle for examining the arrangement.

Investors are tracking the debate as it unfolds. Shares of Dominion Energy traded at $65.10 in recent activity, down 1.69% from the previous close of $66.22, giving the Richmond-headquartered company a market capitalization of roughly $58.6 billion. The stock’s performance reflects the utility sector’s sensitivity to regulatory developments, which can influence the timeline and terms of large transactions.

The legislative discussion arrives at a time when Virginia’s utility policy landscape is already active, with ongoing proceedings touching data-center-driven load growth, transmission investment, and clean-energy buildout under state law. How lawmakers choose to engage — through studies, hearings, or specific legislation — could shape the review process for the proposed deal.

Neither the company nor legislative leadership has signaled a definitive timeline for resolution, and the terms of any potential state-level review remain under discussion.

What to watch

  • Any formal filing of the transaction with Virginia regulators and the federal agencies with review authority
  • Scheduled committee hearings or study resolutions in the General Assembly
  • Dominion Energy’s upcoming quarterly earnings call, where management may address the transaction and its timeline
  • Public comments from the State Corporation Commission on jurisdiction over the deal
