NextEra and Dominion Add Up to $5B Virginia Supplier Commitment to Proposed $67B Combination

NextEra Energy and Dominion Energy have introduced a new element to their proposed roughly $67 billion merger: a supplier program for Virginia worth as much as $5 billion. The commitment, reported by Engineering News-Record, is aimed at companies in Dominion’s home state and appears designed to build local support as the deal moves through the approval process.

Dominion Energy (D), a regulated electric and natural gas utility, serves customers through its Dominion Energy Virginia, Dominion Energy South Carolina, and Contracted Energy segments. Its Virginia operations — covering generation, transmission, and distribution — anchor the company’s regulated business, which is why supplier commitments in that state carry particular weight in utility merger reviews. Regulators typically scrutinize how large utility combinations affect local ratepayers, jobs, and vendor ecosystems.

Shares of Dominion traded at $65.10 in recent activity, down 1.69% from the prior close of $66.22, valuing the company at approximately $58.56 billion. Dominion operates in the utilities sector, within the regulated electric industry.

Large utility mergers generally require clearance from state utility commissions and federal regulators, and commitments to local procurement are a common tool for addressing concerns about economic impact. A supplier program of this scale, if finalized as part of the transaction, would channel spending toward Virginia-based businesses over the life of the commitment.

The merger itself remains subject to regulatory review, and terms or conditions attached to it may continue to evolve as proceedings advance. Neither the supplier program’s final structure nor the timeline for closing has been finalized, based on the reporting available.

What to watch

  • Regulatory filings and state commission dockets related to the proposed combination, including any conditions tied to Virginia supplier spending.
  • Details from Dominion and NextEra on how the supplier program will be structured and disbursed.
  • Dominion’s upcoming earnings reports and guidance, which will shape the financial backdrop during the review period.
  • Any announced milestones or expected closing timelines for the transaction.
