Marathon Makes Major $4.2 Billion Refinery Sale

Published:

This article first appeared on GuruFocus.

Marathon Petroleum (NYSE:MPC) has agreed to sell two refineries and related marketing assets to CVR Energy (NYSE:CVI) in a $4.2 billion transaction, turning what had been takeover speculation into one of the largest U.S. refining deals of the year.

The transaction includes Marathon’s St. Paul Park, Minnesota, and Mandan, North Dakota, refineries, which together have roughly 177,000 barrels per day of capacity.

CVR’s purchase price for the refining and marketing assets is about $3.45 billion, while Marathon’s midstream subsidiary MPLX will receive another $750 million for related infrastructure. Inventory will be paid for separately.

The acquisition is transformative for CVR.

Reuters said the assets will nearly double the company’s refining capacity, significantly increasing its scale beyond its existing plants in Kansas and Oklahoma.

But CVR will not finance the expansion alone.

Commodity trader Trafigura plans to invest $800 million in CVR, while also entering agreements to exclusively supply crude to the acquired refineries and handle product trading and offtake.

That partnership could reduce some of the commercial complexity around integrating two large new assets, but the acquisition still represents a dramatic increase in CVR’s operational footprint.

For Marathon, the transaction is less about exiting refining entirely and more about reshaping where it wants to invest.

The company plans to direct proceeds largely toward its U.S. Gulf Coast operations, while MPLX is expected to use its share of the proceeds to support growth projects in the Permian and Marcellus.

The deal comes during an unusually strong period for refiners.

Marathon’s Q3 refining margins more than doubled to $45.70 per barrel, helping adjusted EPS reach $26.93 versus the $24.47 consensus estimate. Refinery utilization reached 100%.

The transaction is expected to close by the end of 2026.

Investor Takeaway

I think the biggest story is how differently this deal affects the two companies.

For CVR, this is transformational. Nearly doubling refining capacity can materially increase earnings power if current crack spreads stay strong, but it also raises execution and financing risk considerably.

For Marathon, the deal looks more like portfolio optimization. It is monetizing mature assets during a favorable refining environment and redirecting capital toward higher-priority Gulf Coast and midstream investments.

The market reaction reflected that split: Marathon shares rose about 2.2% premarket, while CVR fell roughly 1.3%.

For investors, the key things to watch are CVR’s financing structure, integration costs, refining margins, Trafigura’s role and how aggressively Marathon redeploys or returns the proceeds.

CVR is getting much bigger.

Marathon is getting more focused.
