Revenues increased 57.57% year over year. Adjusted EBITDA totaled $11.729 billion, compared with $3.206 billion in the year-ago quarter.
Maria Khoury, executive vice president and chief financial officer, attributed the strong performance to operational discipline and the company’s integrated refining capabilities. Operating cash flow, excluding working capital changes, reached $8.475 billion.
Marathon’s Refining Operations Drive Profitability
Refining and Marketing adjusted EBITDA increased to $9.895 billion from $1.762 billion a year earlier. Refinery utilization reached 100%, with throughput approaching 3.2 million barrels per day.
Khoury highlighted strong regional execution, with adjusted EBITDA per barrel reaching $32.77 in the Gulf Coast, $36 in the Mid-Continent and $33.30 on the West Coast.
However, refining margin capture stood at 93%. Khoury identified weaker secondary product pricing, jet margins and seasonal inventory builds as headwinds, partially offset by clean product optimization.
MPC’s $4.2 Billion Divestiture Reshapes Its Portfolio
Marathon announced an agreement to sell its St. Paul Park and Mandan refineries and associated midstream assets to CVR Energy for $4.2 billion.
Chairman and CEO Maryann Mannen explained that MPC expects to receive $3.4 billion, while MPLX will receive $750 million. Management intends to prioritize reinvestment opportunities in the Gulf Coast.
During questioning from Goldman Sachs, Mannen emphasized that the transaction aligns the portfolio with long-term strategic priorities. She highlighted investments targeting higher yields, reliability improvements and greater operating flexibility.
Marathon Outlines Fourth-Quarter Operating Expectations
For the fourth quarter of 2026, MPC projects crude throughput of 2.83 million barrels per day and refinery utilization of 95%.
Khoury expects refining turnaround expenses of $230 million, with maintenance affecting conversion units on the Gulf Coast and West Coast. Renewable diesel utilization is projected at 85%, with turnaround costs of $65 million.
Mannen maintained a constructive refining outlook, anticipating elevated margins through at least mid-2027. Management cited constrained global refining capacity, low U.S. fuel inventories and resilient demand for gasoline, diesel and jet fuel.
MPC’s Midstream Growth Supports Cash Generation
Midstream adjusted EBITDA reached $1.882 billion, increasing from $1.709 billion a year earlier. Higher throughput, acquisitions and contributions from equity affiliates supported growth.
Mannen highlighted MPLX’s natural gas infrastructure expansion, including Harmon Creek III and the planned Solitude Pipeline System. Management expects midstream adjusted EBITDA to sustain mid-single-digit growth.
MPLX increased its quarterly distribution by 12.5%. MPC now anticipates approximately $3.1 billion in annual distributions, exceeding its standalone annual dividend and capital spending requirements.
Marathon Addresses Capital Returns and Market Risks
MPC returned $3.284 billion to shareholders during the quarter, including $3.005 billion in repurchases. The company also announced a 10% quarterly dividend increase.
Responding to UBS questions about rising cash balances, Mannen reaffirmed the company’s commitment to strategic investment and shareholder returns. MPC ended September with $12.312 billion in cash and short-term investments, excluding MPLX.
During Morgan Stanley’s questioning, chief commercial officer Rick Hessling clarified that favorable crude differentials are already reflected in MPC’s refining margin indicator. He also noted continued secondary product headwinds entering the fourth quarter.
MPC Maintains Its Focus on Long-Term Competitiveness
Management’s commentary centered on operational reliability, portfolio optimization and investments supporting higher-value refined product output.
Mannen reiterated the importance of disciplined capital deployment and integrated midstream operations. The company’s forward strategy balances Gulf Coast expansion with continued shareholder distributions and repurchases.
